Terms of service

Last updated: May 14, 2026.

Preamble

Orintis, founded by Carlotta Clauter, Berlin, Germany ("Orintis", "we", or "us") offers a web-based application that helps individuals track their personal and professional growth (the "Service"). These terms of service (the "Agreement") govern the relationship between Orintis and you (the "User" or "you") regarding your use of the Service.

Our Privacy policy and Imprint form part of this Agreement.

1. Subject matter and registration

1.1 The Service is provided to consumers and other natural persons of legal age. By registering an account, you confirm that you are at least 16 years old.

1.2 To register, you fill in the account form on the website and set a password. By completing the registration, you make a binding offer to enter into this Agreement. The Agreement is concluded when we accept that offer, for example by activating your account or sending you a confirmation email.

1.3 You must accept this Agreement and our Privacy policy in order to create an account. Your acceptance is recorded together with your account.

2. Services of Orintis

2.1 The Service is provided as software-as-a-service over the internet for the duration of this Agreement. The scope of the Service is described on our website and within the application itself. Beyond that scope you have no claim to a specific arrangement or specific functionality.

2.2 The Service is currently in a Beta Testing Phase. It is provided "AS IS" and "WITH ALL FAULTS". We do not guarantee a specific level of availability, data persistence, or that any particular feature will remain available. We may carry out planned or unplanned maintenance at any time, and will, where reasonable, inform you in advance.

2.3 We may extend, change, or remove features at any time to an extent that is reasonable for you, in particular where this is necessary for technical, security, or compliance reasons. Where a material change affects core functionality you rely on, we will inform you by email or in the application at least four weeks before the change takes effect, unless an earlier change is required for legal or security reasons.

2.4 We are entitled to engage subprocessors (for example for hosting, database, email delivery, and AI features) to provide the Service. The current list of processors is set out in our Privacy policy.

3. AI-powered features

3.1 Some features of the Service use AI models to generate text and suggestions (the "AI Features"). Anything you provide to an AI Feature is your "Input"; anything the AI Feature returns is the "Output".

3.2 You own your Input. To the extent permitted by law, you also own the Output. You are responsible for reviewing and verifying the Output before relying on it or sharing it. Output may be inaccurate, incomplete, or similar to output that other users receive.

3.3 AI Features are processed only when you choose to use them. If you do not use an AI Feature, no Input is sent to the underlying AI provider.

3.4 You agree not to use the AI Features for any illegal, harmful, deceptive, or misleading purpose, and not to present Output as solely human-generated where this would mislead anyone in a relevant context.

4. Your account and your responsibilities

4.1 You are responsible for the data and content you upload, enter, or generate through the Service ("User Content"). You must comply with applicable law when using the Service, including personal rights, copyright, and data protection law.

4.2 You must keep your login credentials confidential and not share them with third parties. Notify us without undue delay if you suspect that your credentials have been compromised.

4.3 You must not use the Service to create, store, or distribute content that is unlawful, infringing, defamatory, discriminatory, harassing, malicious (for example malware), or otherwise harmful, and you must not attempt to circumvent the technical protection, authentication, or rate-limiting measures of the Service.

4.4 You should back up critical data yourself where this is technically possible. We operate the Service with reasonable care but, given the Beta Testing Phase, you should not rely solely on Orintis for data you cannot afford to lose.

5. Intellectual property

5.1 For the duration of this Agreement we grant you a non-exclusive, non-transferable, worldwide right to use the Service for the purposes described in this Agreement.

5.2 You retain all rights to your User Content. You grant us a non-exclusive, royalty-free, sub-licensable right to host, copy, transmit, display, and process User Content solely to the extent necessary to provide the Service to you (for example to store it, render it back to you, send it to a processor such as our AI provider when you use an AI Feature, or include it in email we send to you). We do not use your User Content for advertising or to train AI models for our own benefit, and we do not sell your User Content.

6. Fees and payment

6.1 During the Beta Testing Phase the Service is provided free of charge. We reserve the right to introduce paid plans for parts of the Service in the future. We will not start charging you for a previously free feature without your prior consent.

6.2 Where paid plans are introduced, the applicable fees, billing cycle, payment methods, and any taxes will be shown to you before you commit to a paid plan. Payments will be processed through third-party payment service providers; the relevant terms will be made available at that time.

7. Suspension and termination

7.1 You can terminate this Agreement at any time by deleting your account from within the Service or by contacting us at support@orintis.com. When you delete your account, we delete the associated account data and User Content as described in our Privacy policy.

7.2 We may suspend or terminate your access to the Service, or remove specific User Content, where:

  • your login credentials appear to be compromised or shared with unauthorised third parties;
  • User Content appears to violate applicable law or this Agreement;
  • suspension or deletion is required for technical, security, or legal reasons;
  • we are required to do so by law, by a court, or by a competent authority;
  • your contact or payment details are incorrect and we can no longer reach you;
  • the Service is used in a way that could reasonably be considered abusive, fraudulent, or harmful to other users or to Orintis.

Where reasonable and compatible with the purpose of the suspension, we will inform you before the suspension or deletion takes effect.

7.3 We may discontinue the Service or the Beta Testing Phase at any time. We will give you reasonable advance notice and a reasonable opportunity to export your User Content before we do so.

8. Warranty

8.1 For free-of-charge use of the Service, we provide a warranty in accordance with the applicable statutory provisions of German law.

8.2 Where the Service is provided against payment, we provide a warranty for material defects in accordance with the applicable statutory provisions, with the following clarifications:

  • a defect is a significant deviation from the contractually agreed scope of the Service;
  • you must notify us of any defect without undue delay in text form (email is sufficient) and reasonably support our analysis and remedy efforts;
  • we will, at our choice, remedy the defect by repair or by re-performance within a reasonable period.

9. Limitation of Liability

9.1 For free-of-charge use of the Service we are liable in accordance with the applicable statutory provisions of German law.

9.2 In all other cases we are liable without limitation for intent and gross negligence, and for damages caused by injury to life, body, or health.

9.3 In cases of simple negligence we are liable only for the breach of a primary contractual obligation (Kardinalpflicht): an obligation whose performance enables the performance of this Agreement and on whose performance you may regularly rely. In such cases our liability is limited to the typical and foreseeable damage at the time of conclusion of this Agreement.

9.4 To the extent permitted by law, we are not liable for indirect or consequential damages, including loss of profits, unless they result from a breach of a primary contractual obligation under Section 9.3 or are subject to unlimited liability under Section 9.2.

9.5 Liability for damage due to loss of data is limited to the amount of data recovery that would have been incurred even if you had performed regular data backups appropriate to the risk. This limitation does not apply if the loss arises from a breach of a primary contractual obligation.

9.6 Any liability of Orintis under the German Product Liability Act or applicable data protection laws, and for any guarantees expressly designated as such, remains unaffected.

9.7 The limitations of liability in this Section 9 apply mutatis mutandis in favour of our employees, agents, directors, and other personnel or freelancers.

10. Changes to this Agreement

We may update this Agreement from time to time. Where changes are material, we will inform you in the application or by email to the address associated with your account at least four weeks before they take effect. If you do not agree to the changes, you may terminate your account before they take effect. Continued use of the Service after the effective date constitutes acceptance.

11. Governing law and venue

11.1 This Agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you have your habitual residence in another country, mandatory consumer protection provisions of that country remain unaffected.

11.2 The place of jurisdiction is Berlin, Germany, to the extent permitted by applicable consumer protection law.

11.3 The European Commission provides a platform for online dispute resolution (ODR) available at ec.europa.eu/consumers/odr/. We are not obliged or willing to participate in dispute resolution before a consumer arbitration board unless required by law.

12. Severability

Should any provision of this Agreement be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid provision that comes as close as legally possible to the economic intent of the original.
